1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of Bloc's websites, mobile applications, software, features, content, and related services (collectively, the "Service"). By creating an account, joining or creating a Bloc, or otherwise using the Service, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Service.
2. Eligibility; 17+ Service
You must be at least 17 years old to create an account or use Bloc. You represent that you have legal capacity to enter into these Terms and that your use of Bloc is lawful where you are located. If you are under the age of majority where you live, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
Bloc does not determine whether any wager, investment, prediction-market contract, pooled arrangement, or other activity is legal for you. Laws vary by jurisdiction and product. You are solely responsible for complying with applicable age, location, licensing, tax, securities, gaming, wagering, commodities, and other laws.
You may not use Bloc if you are prohibited from gambling, trading, investing, or participating in a relevant transaction, including because of self-exclusion, employment, insider status, sanctions, court order, regulatory restriction, or provider rules.
3. What Bloc Is
Bloc is coordination, communication, recordkeeping, analytics, and market-information software for private groups. Depending on available features, the Service may allow members to:
- communicate with a group;
- propose, discuss, vote on, and track wagers, prediction-market positions, investments, or other group positions;
- record group ownership percentages and internal allocations;
- record accounts, custodians, cash, holdings, positions, and outcomes;
- compare third-party market prices, odds, or available venues;
- upload documents or data for classification and normalization;
- view analytics, performance information, and other informational outputs.
Bloc is not a party to the private financial arrangements among members of a Bloc.
4. Bloc Does Not Hold or Control Your Money
Bloc never accepts, receives, holds, transfers, pools, escrows, withdraws, deposits, distributes, settles, or otherwise controls user funds or assets. Bloc is not a payment service, wallet, escrow service, sportsbook, brokerage, exchange, or custodian.
Any "cash," "pot," "balance," "ownership," "account," "payout," or similar amount shown in the Service is a record supplied by users or derived from user-supplied and third-party information. It is not a bank balance or custodial account maintained by Bloc.
Members, Admins, and Custodians are solely responsible for the actual movement, safekeeping, reconciliation, allocation, and distribution of real-world funds and assets. Bloc has no obligation to collect a contribution, enforce a payment, recover funds, distribute winnings, or resolve a shortfall.
Bloc never places, submits, executes, transmits, or settles a wager, securities order, prediction-market contract, cryptocurrency transaction, or other financial transaction. All such activity occurs outside the Service and is performed independently by Bloc members using third-party accounts and services they control.
5. Private Group Arrangements Are Your Responsibility
A Bloc may track percentages, votes, contributions, accounts, positions, or expected allocations. These records are tools for the group's convenience and do not create, validate, or guarantee a legally enforceable partnership, joint venture, wagering agreement, security, debt, trust, fiduciary relationship, or other legal arrangement.
Members are responsible for deciding whether they need a written operating agreement, investment-club agreement, partnership agreement, tax registration, entity formation, licenses, disclosures, or professional advice.
Bloc does not determine or guarantee that:
- ownership percentages entered by an Admin are legally correct;
- a Custodian actually holds the funds or assets shown;
- a member will honor a payment or distribution obligation;
- a group wager or investment arrangement is lawful or enforceable;
- a group's tax treatment or reporting is correct.
Disputes among members concerning money, ownership, bets, investments, payouts, losses, custody, or distributions are disputes among those members, not with Bloc.
6. Admins, Custodians, and Member Authority
The Service may assign different product roles.
Admins manage group governance features, which may include inviting or removing members, assigning other Admins, configuring group settings, recording new cash, assigning custodians, and establishing or changing ownership percentages.
Custodians are members designated in the Service as having access to or responsibility for one or more real-world accounts, cash locations, sportsbooks, brokerages, wallets, or other asset locations. Custodian status does not by itself grant Admin rights.
Members may have rights to view, communicate, propose, vote, or perform other group actions according to the Bloc's settings.
These are software permissions only. Bloc does not verify that a user has legal authority over an entity, account, asset, or other member's money. The group is responsible for assigning roles accurately and promptly removing access when authority changes.
7. No Brokerage, Investment-Advisory, Fiduciary, or Banking Relationship
Bloc is not a broker-dealer, investment adviser, commodity trading adviser, futures commission merchant, bank, trust company, money transmitter, custodian, financial planner, fiduciary, exchange, clearinghouse, sportsbook, or gambling operator.
Bloc does not provide personalized investment advice or recommend that any person buy, sell, hold, or allocate capital to any security, option, cryptocurrency, prediction-market contract, wager, or other instrument.
Information, rankings, analytics, AI outputs, odds, implied probabilities, market comparisons, historical performance, and group discussions are for informational and coordination purposes only. You are responsible for your own decisions and should consult qualified professionals when appropriate.
8. Bloc Is Not a Sportsbook or Gambling Operator
Bloc does not accept wagers, set or book wagers for its own account, pay winnings, collect losses, transmit stakes, place bets, or guarantee a wager. Sportsbook odds and other betting information may be supplied by third parties or entered by users.
Any wager discussed, proposed, voted on, or tracked in Bloc must be placed outside Bloc by a member using a third-party service or account that the member independently controls. Users are responsible for placing any wager only through lawful channels and only where they are legally eligible to do so. A proposal, vote, record, notification, price, or odds display inside Bloc does not itself place, authorize, transmit, or legalize a wager.
You may not use Bloc to operate an illegal sportsbook, collect unlawful gambling debts, evade licensing requirements, circumvent geolocation or provider restrictions, facilitate wagering by an ineligible person, or engage in any unlawful gambling activity.
9. Investment Clubs and Securities-Law Responsibility
Groups that pool money to invest may be treated as investment clubs, partnerships, investment companies, issuers, advisers, or other regulated persons depending on their facts and activities. Each Bloc is responsible for evaluating its own legal obligations.
No feature of Bloc should be interpreted as a representation that a group, Admin, Custodian, or member is exempt from federal or state securities, commodities, investment-adviser, broker-dealer, tax, or entity-law requirements.
Users may not use Bloc to offer or sell securities unlawfully, solicit the public into an investment vehicle in violation of law, provide regulated investment advice without required registration, or effect securities transactions for others where registration is required.
10. Third-Party Markets, Providers, and Data
Bloc may display or link to information from sportsbooks, exchanges, brokerages, prediction markets, market-data providers, or other third parties. Those services are independent from Bloc and may have their own eligibility rules, terms, fees, licensing restrictions, settlement rules, and geographic limits.
Quotes, odds, prices, spreads, liquidity, implied probabilities, Greeks, payouts, and other market information may be delayed, stale, incomplete, inaccurate, unavailable, or different from the price actually available when you transact. A displayed quote is not a guarantee of execution.
Bloc is not responsible for a third party's outage, pricing error, settlement decision, voided wager, rejected order, account restriction, insolvency, security incident, or other act or omission.
11. AI and Automated Features
Bloc may use automated systems or artificial intelligence to classify uploads, normalize holdings, identify markets, summarize content, calculate fields, or generate suggestions. Automated outputs may be wrong.
You must review material financial information before relying on it. Where the Service asks you to confirm imported holdings, ownership, account information, odds, cost basis, or other data, your confirmation means you are responsible for the accuracy of the confirmed information.
Do not treat AI output as legal, tax, investment, gambling, accounting, or other professional advice.
12. User Content and Group Communications
You retain ownership of content you submit to Bloc, subject to the rights needed for us to operate the Service. You grant Bloc a non-exclusive, worldwide, royalty-free license to host, process, reproduce, transmit, display, analyze, and otherwise use your content solely as reasonably necessary to provide, secure, improve, and support the Service and as described in our Privacy Policy.
You are responsible for content you submit and must have the right to provide it. Do not upload confidential account credentials, full payment-card data, private keys, passwords, or other credentials that Bloc does not specifically request.
Private-group communications may still be copied, exported, screenshotted, or disclosed by other group members. Bloc cannot guarantee confidentiality among members.
13. Prohibited Conduct
You may not use Bloc to:
- violate any law, regulation, court order, sanctions program, or third-party right;
- facilitate underage or otherwise prohibited gambling or trading;
- impersonate another person or misrepresent authority over an account or entity;
- steal, misappropriate, conceal, or falsely record funds or assets;
- manipulate markets, trade on prohibited nonpublic information, fix outcomes, bribe participants, or engage in fraud;
- operate an unlicensed sportsbook, exchange, broker, adviser, money-transmission business, or other regulated activity;
- threaten, harass, defraud, or exploit another member;
- upload malware or interfere with the Service;
- scrape, reverse engineer, or misuse the Service except as permitted by law;
- use market data in a way that violates applicable provider licenses or terms.
14. Account Security
You are responsible for safeguarding your login credentials, devices, and authentication methods and for activity under your account. Notify us promptly at support@heybloc.com if you believe your account has been compromised.
We may require additional verification, restrict features, or suspend access when we reasonably believe necessary to protect users, the Service, or third parties.
15. Taxes and Reporting
Bloc does not provide tax advice and does not determine the tax consequences of a group's activity. Users and groups are solely responsible for tax filings, reporting, recordkeeping, withholding, entity classification, gambling-income reporting, investment gains and losses, and other tax obligations.
16. Service Changes; Beta Features
We may add, change, suspend, or discontinue features. Features involving market data, AI, or third-party information providers may be labeled beta, limited, or unavailable in certain locations.
The current Service does not provide transactional functionality or custody. If Bloc ever considers functionality that connects to an account for the purpose of moving money or executing a wager, trade, prediction-market contract, or other transaction, that functionality will not be covered by this launch model and must undergo separate legal, regulatory, licensing, App Store, privacy, security, and Terms review before release.
17. Suspension and Termination
We may suspend or terminate access if we reasonably believe you violated these Terms, created legal or security risk, engaged in fraud or abuse, or if required by law or a third-party provider.
You may stop using Bloc at any time. Termination does not resolve or extinguish obligations among members of a Bloc. Users remain responsible for exporting or retaining records they need for legal, tax, accounting, or financial purposes.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BLOC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
BLOC DOES NOT WARRANT THAT MARKET DATA, GROUP RECORDS, OWNERSHIP PERCENTAGES, ACCOUNT BALANCES, AI OUTPUTS, PERFORMANCE CALCULATIONS, ODDS, PAYOUTS, OR OTHER INFORMATION ARE COMPLETE, ACCURATE, CURRENT, OR SUITABLE FOR ANY PARTICULAR TRANSACTION.
19. Assumption of Financial Risk
Investing, options, cryptocurrency, prediction markets, and gambling can result in substantial or total loss. Past performance does not guarantee future results. Odds and market prices can change rapidly.
You assume all risks of decisions made by you or your group, including market losses, wagering losses, missed trades, stale prices, incorrect data, member default, custodian misconduct, provider failure, tax consequences, and disputes among members. Because Bloc does not execute transactions or control funds, you also assume the risks arising from any member's independent decision to place, decline, mistime, misstate, or incorrectly execute a transaction outside the Service.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST WINNINGS, LOST INVESTMENT OPPORTUNITY, LOST DATA, LOSS OF GOODWILL, OR LOSSES ARISING FROM MEMBER DISPUTES, MARKET MOVEMENTS, WAGERS, INVESTMENTS, PREDICTION-MARKET ACTIVITY, THIRD-PARTY PROVIDERS, OUT-OF-APP TRANSACTIONS, A MEMBER'S FAILURE OR DELAY IN EXECUTING A DECISION, OR UNAUTHORIZED ACCESS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BLOC DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
21. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Bloc and its affiliates, officers, directors, employees, agents, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from or relating to your use of the Service, your content, your violation of these Terms or law, your group's financial arrangements, your role as Admin or Custodian, or disputes with other members.
22. Disputes with Other Bloc Members
Bloc is not responsible for adjudicating disputes among users. We may provide records or product tools that help users understand what was entered or recorded, but we do not determine who legally owns money, who owes a debt, whether a wager agreement is enforceable, or how funds must be distributed.
We may take action on accounts to address safety, fraud, abuse, or violations of these Terms without resolving the underlying financial dispute.
23. Governing Law; Arbitration; Class Waiver
Except where prohibited by law, these Terms are governed by the laws of Minnesota, without regard to conflict-of-law rules.
Any dispute between you and Bloc arising out of these Terms or the Service will first be subject to a 30-day informal resolution process after written notice. If unresolved, the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable consumer rules, except that either party may bring an eligible claim in small-claims court and either party may seek injunctive relief for misuse of intellectual property or unauthorized access.
YOU AND BLOC WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION TO THE EXTENT PERMITTED BY LAW.
Users may opt out of arbitration by sending written notice to support@heybloc.com, or to the mailing address in §26, within 30 days after first accepting these Terms. The notice must identify the user's account and clearly state the decision to opt out.
24. Changes to These Terms
We may update these Terms. Each published version will have a version number and effective date. For material changes, we will provide reasonable notice through the Service, email, or another appropriate channel before the changes take effect where required by law.
If we require renewed acceptance, continued use alone will not substitute for the requested affirmative acceptance. We will maintain records of the Terms version accepted by each user.
25. General Terms
If a provision is held unenforceable, the remaining provisions remain in effect to the extent permitted by law. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets. These Terms, the Privacy Policy, and any applicable supplemental terms constitute the agreement between you and Bloc regarding the Service.
